Service Description
Why Go offers a range of services that travellers would find interesting or a need while travelling around Australia. This includes but not limited to accommodation, activites and tours, food and beverage establishments, places of interest and products.

All category listings are set to rotate to allow all vendors equal exposure across our network. This excludes where a user is using a filter to refine their buying decision.
Commission Structure
WhyGoAu receives a Commission for offering your services across our network. Commission is calculated on a number of factors not limited to how many bookings you receive and your reviews. The commission range is 10-20%. All new vendors start on 20% commission.

To reduce your commission to 10%, you must have an excellent profile and have an Exclusive Partnership with WhyGoAu.

Where a Food And Beverage Vendor offers Experiences and “Book a Table” or “Book a Seat” bookings, you will be charged a flat fee of $4.97 per person for the “Book a Table” or “Book a Seat” booking.

Where a Food And Beverage Vendor does not offer Experiences but offers “Book a Table” or “Book a Seat” bookings, you will be charged a flat fee of $6.97 per person for the “Book a Table” or “Book a Seat” booking.

Where a user clicks your website link or phone link and does not create an order on our website, you are charge a rate of $1.97 per click known as "CPC" ( Cost Per Click ) .
Payment Terms
A “Valid Payment” is the vendors portion of order value from a successful order that:
1. has not been refunded nor has a request for refund; and
2. must be 72hrs after the booking has been completed.

Payments excluding “Book a Table” or “Book a Seat” bookings
Valid payments are processed for payment every Monday via direct bank transfer

“Book a Table” or “Book a Seat” Payments or "CPC" Payments
Valid Payments from “Book a Table” or “Book a Seat” or  "CPC" are invoiced weekly and automatically deducted from your supplied credit card with a 1.5% fee for merchant facility fees.

Cancellation and Refund Policies
We have a standard cancellation policy of 24hr for all bookings with a full refund. Some bookings may require a longer cancellation and will be considered on an individual basis. We reserve the right to refuse any request for extended cancellation timeframe.

With the exception of restaurants “Book a Table” booking, Where a customer cancels within 24hrs (or approved timeframe) of the booking, the booking is considered successful regardless if the customer is attends the service or not. The only exception is with emergency extenuating circumstances, which is at the discretion of Why Go to offer a partial or full refund.

Where you are a restaurant and receive “Book a Table” bookings and a customer is a no show, the vendor has 24hrs to notify Why Go the booking as a no show for the commission to be refunded.

Vendors cancellation and refund disputes can be submitted in the Vendors account for a review. Why Go has absolute discretion to consider review and/or proceed with any decisions regarding any or all disputes.
Assignment of Rights
The vendor shall not assign, transfer or use as collateral, any rights, goods or obligations arising in connection with this agreement to any third party or hold them on trust for any such party.
Intellectual Property
Intellectual Property supplied by a Vendor: By submitting content, including images, descriptions, and any intellectual property, vendors grant Why Go a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content on our platform. Vendors represent that they have the necessary rights to grant this license. Why Go respects intellectual property rights and will promptly address any infringement claims. Vendors retain ownership of their intellectual property, and this license allows Why Go to promote and facilitate the display of their products and services on our platform, enhancing visibility and accessibility for potential customers.
Liabilities and Indemnities
The Vendor is solely responsible for providing correct and accurate information for their product/s and maintain its accuracy while being promoted across our network.

The Vendor is solely liable for all actions, claims or demands (including all costs of defending or settling any claims, demands or actions) which may arise from providing their products or services.

The Vendor shall release, indemnify and keep indemnified Why Go, its employees or agents against all actions, claims or demands (including all costs of defending or settling any claims, demands or actions) which may arise from:
i. breach of these terms and conditions
ii. negligence, wilful or unlawful misconduct of a Vendor
iii. publications by Why Go or an agent of Why Go
iv. breach by the Vendor of any laws or legal obligations, including the Competition and Consumer Act 2010 and any local, state or federal laws.
Service Continuation
This service agreement shall continue as an ongoing service agreement. This agreement can be terminated at any time by the Vendor or Why Go.
Termination by Why Go
a. Why Go may terminate your listing at any time on our website or other platforms.
b. Why Go is not obligated to provide a reason/s for the removal of your listing.
c. Why Go will refund you a pro rata portion of the subscription fees to the unused portion of your subscription. With the exception of 4.d.
d. Where your listing is removed due to visitor complaints, negative reviews or distasteful content, you agree you will not be entitled to a refund of any amounts paid for your listing.
e. On termination, We will send the Vendor a final invoice for any balances due accruing from their listing. The Vendor has 7 days to pay.
Termination by the Vendor
a. A Vendor can cancel their listing at any time. You agree you must give minimum 14 days notice, and complete all existing orders/bookings already booked by a customer.
b. If you cancel your Listing with Why Go and have engaged in our advertising services, any and all advertising fees are payable by you immediately due and payable in full.
c. On termination, We will send the Vendor a final invoice for any balances due accruing from their listing. The Vendor has 7 days to pay.
d. A Vendor has the option to temporarily close their store for purposes like renovations, seasonal closures
Data and Privacy
Why Go prioritizes the utmost security and privacy of vendor and customer data. Employing best techniques for handling sensitive information, we implement robust encryption and industry-standard security measures. Vendors are entrusted with customer data solely for service completion purposes. Strictly adhering to privacy laws and guidelines, vendors are expressly prohibited from using customer information for any other purposes, ensuring a secure and transparent transaction environment.
Governing Law
a. The governing law of this Terms and Conditions will be the law of the state and country of New South Wales, Australia.
b. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:
i. To cancel your service contract with us; and
ii. To a refund for the unused portion, or to compensation for its reduced value
Updates and Notifications
Vendors will be notified of any changes to the Terms of Service or platform policies 30 days before they become effective.

We value our Vendors opinions and suggestions. Vendors can provide feedback or suggestions for improvements via their account.
